The use of the Website is only for individuals competent to contract as per applicable Indian laws (i.e. a person above 18 years of age, and who is of sound mind and is not disqualified from contracting by any law to which he/she is subject (“Eligible Person(s)”).

In case any person who is not an Eligible Person, the Website must be accessed by only the parents/ legal guardians who have to be competent to contract and act on behalf of such minor or child or person who is not an Eligible Person. Such parents/ legal guardians will be responsible for adhering to these Terms of Use and for the actions of the minor, child or the person not being an Eligible Person, on whose behalf he/ she accesses the Website, without any liability on the LLP whatsoever.

1. User Agreement

The Privacy Policy set out on the Website shall form a part of these Terms of Use by means of reference. By using the Website from any electronic device, you agree to abide by these Terms of Use and the Privacy Policy as amended from time to time. Please read these Terms of Use and the Privacy Policy carefully before using or availing the services or purchasing goods or products offered through the Website. If you do not agree to abide by or be bound by these Terms of Use and the Privacy Policy, then in that event you should not use the Website.

It is clarified that non usage of the Website for any period of time will not amount to termination unless expressly terminated, as provided on the Website. All the rights acquired by the LLP prior to the termination shall continue to remain with the LLP even after the termination or deletion of the profile or account of the User from the Website.

1.5 The LLP shall in its sole discretion have the right at any time and without prior notice to restrict, suspend, terminate, delete content or details of any User for any or all services of the Website. Any such cases may be notified to the User as per the LLP’s discretion.

2.1 The Website is designed to be utilised to read information, to exchange useful contact information with the individuals and entities registered with the Website, and to also connect to individual customers for inquiry or to reach out to a User about the various products such as jewellery, designs, lab grown diamonds, precious metals, bespoke jewellery, and other ancillary products of allied nature and associated services provided by the LLP.

2.2 The individuals who subscribe to the Website of the LLP shall receive periodical updates and information about the products and services provided by the LLP from time to time.

2.3 The LLP takes great care when putting product information, descriptions, and images online but will not be held responsible for any mistakes or omissions to any information given. The LLP states that the images available on the Website are only indicative. This Website offers jewellery in 14K White, Yellow, Rose or Champagne Gold with Lab Grown Diamonds or Lab Grown Gem Stones of Diamond Colour and Quality (DEF; VVS/VS) for personal consumption, inclusive of customised and readymade jewellery. Some items portrayed may appear slightly larger or smaller than their actual size due to screen defaults and photography techniques. Sometimes the items may be portrayed larger than the actual size in order to clearly show details or smaller than the actual size in order to show the entire item. The LLP shall not be liable for any legal claims or action on this account. The LLP attempts to be as accurate as possible in the description of the product on the Website. However, the LLP does not warrant that the product quality, product description, colour, information, or other content of the Website is accurate, complete, reliable, current, or error-free. The Website may contain typographical errors or inaccuracies and may not be complete or current. The product pictures are indicative and may not exactly match the actual product. The LLP reserves the right to correct, change or update information, errors, inaccuracies, or omissions at any time (including after an order has been submitted) without prior notice. Please note that such errors, inaccuracies, or omissions may also relate to pricing and availability of the products.

Instructions for product care and usage are available on the Website and should be followed diligently such as store your jewellery in its provided box, avoiding exposure to any fragrance, moisture, or lotion to maintain its brilliance. 

3. Registration and use 

3.1 The User agrees that he/ she shall only register once and use a single User account at all times. If the LLP decides to delete the User profile or debar the User from use of the Website for any reason whatsoever, the User shall not directly or indirectly enrol with the Website again, in any manner whatsoever.

3.2 While registering on the Website or using the services, you agree to provide true and correct information, which does not give the wrong impression, or which impersonates any other person in any manner whatsoever and also undertake to revise and update the information in a timely manner. 

3.3 The User shall not operate the Website in any manner which will be prejudicial to or detrimental to the interests of the LLP, any other User of the Website or any other person or generally the public at large by engaging in illegal, inappropriate, unauthorised activities of any manner whatsoever including activities, tactics which may be insulting, offensive, defamatory, slanderous, libellous, vilifying, cause a threat to life or property or intruding the privacy of any other person. Any such prejudicial, detrimental or unauthorised use of the Website shall immediately terminate the right of such User to use the Website.

3.4 If You are registering or accessing the Website on behalf of a minor, child, or any person who is not an Eligible Person, You must exercise discretion and ensure that such person’s access to and use of the Website complies with these Terms of Use. The User acknowledges and agrees that the aforesaid circumstances may result in interruption of services on the Website. The User agrees to co-operate with the LLP during such times, and the LLP cannot be held liable for any losses arising thereto.

5.6 The User agrees and understands that the LLP shall not be held responsible, liable for the disruption of services or non-performance of these Terms of Use and Privacy Policy or the costs and consequences arising from disruption of services or the non-performance of these Terms of Use and Privacy Policy, owing to a force majeure event such as national emergency, war, riots, insurrections, acts of terrorism/ public enemies, civil disturbances, prohibitive governmental regulations or the orders of any judicial / legislative authority, strikes, lockouts or other industrial disturbances, fire, floods, lightning, violent winds, cyclones, severe rains, earthquake, pandemic, epidemic or other acts of God, hardware or software crashing or failures, or any other cause beyond the reasonable control of the LLP that renders use of the Website impossible.

5.7 The LLP shall not be responsible for any loss of data or deletion of any data that may have been provided by the User resulting from such interruption of any service.

5.8 The LLP shall not be responsible or liable for any loss or deficiency of any services availed through the Website. The Users shall use the Website at their own risk.

5.9 You acknowledge that the LLP may as part of the features or services offered through the Website, display advertisements, promotions, offers, enrolments, provide links to third party websites with whom the LLP may have a business or contractual relationship for which the LLP may or may not receive monetary gain. However, any engagement of the User with such third parties is entirely at the sole risk of the User as to costs and consequences. The colours, textures, and appearance of gemstones and metals may vary slightly from what is depicted on the Website due to differences in lighting, photography, screen resolutions, and natural characteristics of the materials used.

All products, especially those involving gemstones or hand-finished elements, are subject to minor variations in shade, cut, polish, and setting. These variations are not to be considered defects but rather attributes of the uniqueness and artisanal quality of each piece. No two handcrafted or natural-stone products are ever truly identical, and such characteristics reflect the individuality and authenticity of our creations.

While the LLP endeavours to maintain consistency across its offerings, it does not guarantee that the product delivered will be an exact replica of the image or sample viewed online. By placing an order, you acknowledge and accept the possibility of such differences.

The LLP expressly disclaims any liability arising from or related to such natural or visual variations, and no claim or request for exchange or refund shall be entertained solely on this basis.

6. Intellectual property and proprietary information 

6.1 The LLP holds all legal rights to use its trademarks, word marks, logos, taglines, sound marks, and other related intellectual property (“IP”), whether applied for or registered in its name. The LLP is the sole owner of the Website, including but not limited to its source code, object code, scripts, design, graphics, button icons, layout, software, and overall look and feel. All content made available on the Website is either owned by the LLP or has been irrevocably assigned to it.

6.2 Users are strictly prohibited from using the LLP’s name, trademarks, proprietary materials, logos, designs, or any other IP in any manner whatsoever without prior written consent. The name “House of Yarane” along with its associated logos, product names, product designs, design marks, slogans, and other related branding elements, constitute the exclusive trademarks and IP of the LLP. 

6.3 Any IP displayed on the Website, whether registered or unregistered, belongs either to the LLP or to third parties who own such rights. The LLP shall not be liable for any unauthorized or unlawful use of such third-party IP by Users or any other persons.

6.4 Nothing contained on the Website should be construed as granting any license or right to any User, to use any IP belonging either to the LLP and/or third-party service providers associated with the Website, in any manner whatsoever. Subject to what is stated in the paragraphs above, any other material displayed on the Website that is capable of being protected as intellectual property shall be the property of the LLP and nothing contained therein should be construed as granting any licence, interest or right to the User to use any such material, without the prior written permission of the LLP.

6.5 The User agrees that they shall not, in any manner whatsoever:

6.6 Intellectual Property in User-Provided Designs:

The User acknowledges and agrees that for any custom or bespoke jewellery designs, or any other designs, specifications, or content ("User-Provided Designs") submitted by the User to the LLP for the purpose of manufacturing products, the IP in such User-Provided Designs shall not belong to the LLP and remain with the User, unless the contrary is agreed to in writing. 

By submitting User-Provided Designs, the User grants the LLP a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display such designs solely for the purpose of manufacturing and fulfilling the User's order, as per the request of the User. 

The User warrants and represents that they are the sole owner of all IP in the User-Provided Designs or have obtained all necessary licenses, permissions, and consents from any third-party owners of such IP to enable the LLP to use the designs as intended. 

The User shall bear sole liability and full responsibility for any claims, costs, damages, losses, or expenses arising out of or in connection with any alleged or actual infringement of any third-party IP caused by the User-Provided Designs. The User agrees to indemnify and hold harmless the LLP, its partners, designated partners, affiliates, employees, agents, and their successors and assigns from any and all such claims and liabilities. 

The LLP shall have no responsibility or liability whatsoever for verifying the ownership or validity of IP in any User-Provided Designs, nor for any third-party infringement claims arising from the use or manufacture of products based on such designs.

7. Pricing, Orders, and Payments 

7.1 Pricing 

Our pricing is calculated using current precious metal and gem prices to give you the best possible value. These prices do change from time to time, owing to the fluctuations in prices of precious metal and gem prices, so our prices change as well. Prices on the Website are subject to change without notice. Please expect to be charged the price for the merchandise you buy as it is listed at the time of purchase. While the prices displayed on the Website are regularly verified, the LLP cannot guarantee the absence of errors. If a product is listed at an incorrect price or with incorrect information due to any technical error, the LLP shall have the right, at its sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been delivered/offer has already been availed by You. Prices and availability of the products provided or offered on the Website are subject to change without prior notice and at the sole discretion of the LLP.

7.2 Placing an Order: 

You can navigate freely on the Website without being bound to place an order. If You choose to place an order, You will be guided through the process of placing an order by a series of simple instructions on the Website and the order will only be placed on the basis of the explicit and affirmative action being taken by You. If You wish to make a purchase, You may add the desired product to the cart/shopping bag. At the time of adding the product to the cart/shopping bag, You can select the desired quantity of the product, basis Your requirement (the maximum quantity which can be ordered for each product shall however be subject to Our prevailing policies on maximum order quantity/order). Once You have added all the desired products to Your cart/shopping bag You can proceed to place Your order. At the time of placing the order, the total price along with the breakup price for the different products, details of all the compulsory and voluntary charges, such as delivery charges, postage, and handling charges, etc., and the applicable tax shall be provided to You by displaying the same on the Site. Once You have confirmed the details of the order, You will be directed to the payment page.

7.3 Order Confirmation & Availability: 

Orders are normally considered complete only after the payment has been received by the LLP, unless otherwise stated. The LLP will always endeavour to fulfil your order once completed and paid for. 

7.4 Payment Methods: 

Payments methods for the products available on the Website may be made by, including but not limited to, Credit Cards, Debit Cards, UPI, Net Banking, or other payment instruments that are accepted modes of payment on the Website, as displayed on the Website including order checkout and payment pages. The LLP reserves the right to disable Cash on Delivery option for the User.

The User agrees, understands, and confirms that the Debit Card, Credit Card, UPI, Net Banking details provided by for purchasing products or availing of services on the Website will be correct and accurate. Further, the said information will not be utilised and shared by the LLP with any of the third-parties unless required for fraud verifications or by law, regulation, or court orders. The LLP will not be liable for any fraud associated with the information provided by You. The liability for misuse of a card or the related information will not fall upon the LLP, and the onus to ‘prove otherwise’ shall exclusively lie on you. The LLP or its representatives will not ask for your credit/ debit card details such as the CVV number or bank account details, hence you should not share any such information. 

The User agrees and understands that the LLP will be engaging with payment gateways and the User agrees to be bound by these terms and conditions and privacy policies of such payment gateways by use of this Website. The LLP shall not be responsible for the non compliance of the terms and conditions and privacy policies of the payment gateways by the User, in any manner whatsoever. 

8. Shipping and Delivery Policy 

8.1 Delivery Process:

The LLP delivers the products purchased by You through its authorised delivery partners and not by itself. All products/orders are processed for delivery/shipment after successful pre-payment (except in case of COD orders). The delivery of the products/orders is processed at such address which is provided by You. The LLP or its service providers (delivery partners) do not have an obligation to verify the details of the delivery address provided by You. You agree and understand that the LLP shall not be responsible in any manner whatsoever for: 

1. delivery of the Product(s) at a wrong address furnished by You;

2. any loss and/or damage incurred by You due to incorrect, incomplete and/or false information furnished by You;

8.2 Delivery Timeframes 

Delivery times are influenced by product availability, shipping destination and the delivery partner's time-to-deliver the products to the customers location. While the LLP will aim at delivering the products to You at the earliest, the delivery may be delayed in case of force majeure events, festivals, geopolitical developments, or under circumstances which may be beyond the control of the LLP. In such a situation, the LLP will deliver the products to You at the earliest possible time. We cannot, however, be held responsible for the consequences of a late delivery or the loss of a package caused by a third-party delivery partner, or by you, or due to unforeseen circumstances outside the control of the LLP. In the event that you do not receive your package, an investigation will be conducted with the third-party delivery partner and may take several days upon receipt of your claim. During this period of investigation, no reimbursement or redelivery will take place.

8.3 Recipient Verification and Acceptance

At the time of placing an order, the User shall provide accurate personal and sensitive personal information as required, including the full legal name of the intended recipient, as reflected in a valid government-issued photo identification. At the time of delivery, the recipient must present valid government-issued identification for verification. Delivery shall be completed only upon successful verification of the recipient’s identity by the LLP or its authorised courier partner. The recipient must cooperate by sharing the necessary and valid identification details to ensure safe and secure delivery.

8.4 Delivery to Another Person: 

In case the User wishes to authorise another person to receive the delivery on their behalf, the details of such authorised recipient must be provided at the time of placing the order and confirmed in writing. All items shall be delivered directly to the authorised person specified at the time of order placement, and under no circumstances can the recipient details be changed once the order has been processed.

8.5 Checking Package Condition: 

We recommend that the User or the recipient of the order inspect the package for any signs of tampering before accepting the delivery. They shall not accept deliveries where they find that the box is empty, the contents are damaged, or the contents are not in accordance with the order placed. The recipient, upon signing the delivery receipt, acknowledges the receipt of the product in good order and condition; in terms of the order placed with the LLP. 

8.6 Non-Delivery and Re-shipment: 

If the recipient is not available at the time of delivery, the LLP/courier agent shall try and deliver the product three times before returning the same to the LLP. All costs for reshipment handling in the case of non-delivery to the user shall be chargeable to the User.

8.7 Shipping Charges: 

Shipping charges will be applicable on all orders depending on the delivery location. Please note, the shipping charges are subject to change without prior notice.

9. Indemnity 

9.1 You shall indemnify and hold safe harmless indemnified the LLP, partners of the LLP, designated partners of the LLP, employees, affiliates, representatives, sub-contractors, agents and associates from any and all claims and losses imposed on, incurred by or asserted as a result of or related to: (i) your access and use of the Website, (ii) your breach of these Terms of Use / Privacy Policy; (iii) your misrepresentation, negligence, misconduct, non-compliance or violation of any applicable laws, violation of a third-party rights; (iv) any wrong or incorrect information provided by You to the LLP, in any manner whatsoever. 

9.2 This indemnity shall survive the termination of these Terms of Use and Privacy Policy. To the fullest extent permitted by law, the foregoing indemnity will apply regardless of any fault, negligence, or breach of warranty or contract by Us and/or our suppliers, licensors, affiliates, partners, employees, representatives, agents and/or members.

10. Communication

10.1 The LLP may communicate with the User by multiple mediums including but not limited to notices/ push notifications on the Website or notifications via e-mail, SMS, WhatsApp chats, telephone calls or any other means of communication that the LLP may deem fit. The User agrees to receive communications from the LLP directly or indirectly or via any third party associated with the LLP. 

11. Dispute resolution 

11.1 Any dispute between You and the LLP arising out or in relation to these Terms of Use and/or the Privacy Policy, shall be referred to arbitration to be conducted by a sole arbitrator mutually appointed by both the Parties. The seat of arbitration proceedings shall be Mumbai, in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

12. Governing law and Jurisdiction 

12.1 These Terms of Use and the Privacy Policy shall be governed by the laws of India.

12.1 Subject to clause 11 above, the courts in Mumbai shall have exclusive jurisdiction in relation to these Terms of Use and/or the Privacy Policy.

13. Waiver

13.1 No delay, forbearance or indulgence in exercising or omission to exercise any right, power or remedy accruing to the LLP upon any default by the Users shall impair any such right, power or remedy or shall be construed to be a waiver thereof or any acquiescence to such default.

14. Headings

14.1 The headings in the Terms of Use and the Privacy Policy are provided only for the sake of convenience and shall be ignored for the purpose of interpretation/ explanation of the provisions of these Terms of Use and the Privacy Policy.

15. Severability

15.1 If and solely to the extent that any court or tribunal of a competent jurisdiction holds any provision of these Terms of Use to be unenforceable in a final non-appealable order or if any provision become unenforceable by operation of applicable laws, such unenforceable provision shall be stricken, and the remainder of these Terms of Use shall not be affected thereby. All provisions of these Terms of Use shall be severable, and no such provision shall be affected by the invalidity of any other provision to the extent that such invalidity does not also render such other provisions invalid. In the event of the invalidity of any provision of this Agreement, it shall be interpreted and enforced as if all the provisions thereby rendered invalid were not contained herein.

16. Entire agreement

16.1 These Terms of Use along with the Privacy Policy constitute the entire agreement between you and the Company, and no other agreement, written or oral, exists between you and Company with respect to the Website.

17. Amendment

17.1 We may at any time as we think it is fit, change the Terms of Use and/or the Privacy Policy without advance notice to you. Your continued use of the Website after such change in these Terms of Use and/or the Privacy Policy will mean and imply that you accept the new and/or modified Terms of Use and/or the Privacy Policy. Kindly re-visit the ‘Terms of Use’ link at our site from time to time to keep yourself familiarised and updated with any changes that may be made to these Terms of Use or Privacy Policy to enable you to adhere to the same. It is clarified that any amendments or modifications to these Terms of Use shall be effective immediately upon posting.

18. Assignment

18.1 Any rights, benefits or obligations arising out of these Terms of Use shall not be assigned by you to any person. Any such assignment shall be null and void. However, the Company may assign the terms of these Terms of Use, in whole or in part, to any third-party at any point in time to any person, at its sole discretion.
